Terms of Service

1. Eligibility and Parent or Guardian Consent

Ribbit is designed for children and families. A parent, legal guardian, or other authorized adult must create, supervise, and remain responsible for any account used by a minor, to the extent required by applicable law.

By allowing a minor to use the Service, you represent that you have authority to accept these Terms on that minor's behalf and agree to supervise the minor's use. You are responsible for all activity under the account and for ensuring that profile names and other submitted information are appropriate and lawful.

2. Accounts and Account Security

You may need an account to use certain features. You must provide accurate information, keep it current, and protect your sign-in credentials and device access. Do not share account credentials or permit unauthorized access to your account.

You must notify us promptly of suspected unauthorized use. To the maximum extent permitted by law, we are not responsible for loss resulting from your failure to protect credentials, devices, or account access.

3. Limited License

Subject to these Terms, Orcava grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to use the Service for its intended personal and family music-practice purposes. No ownership or intellectual-property right is transferred to you.

4. Acceptable Use

You must not, and must not help another person to:

• Use the Service unlawfully, fraudulently, abusively, or in a way that infringes another person's rights.

• Upload, submit, or share content that is unlawful, harmful, defamatory, obscene, invasive of privacy, or otherwise inappropriate for a child-and-family service.

• Use sensitive personal information in a nickname, profile, leaderboard entry, referral code, or other visible content.

• Reverse engineer, decompile, modify, scrape, interfere with, overload, or attempt to bypass the Service, its security controls, rate limits, or access restrictions, except where applicable law expressly permits such activity.

• Use bots, scripts, automation, or other means to manipulate practice records, rewards, referral programs, rankings, badges, levels, or other Service features.

• Impersonate another person, create accounts for deceptive purposes, or use another person's account without permission.

• Upload material you do not have the necessary rights or permissions to use, including sheet music, recordings, images, or other copyrighted content.

5. User Content and Permissions

You retain any rights you have in content you submit through the Service, including profile information, recordings, and sheet-music images ("User Content"). You are solely responsible for User Content and for obtaining all permissions needed to submit it.

You grant Orcava a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, and display User Content only as necessary to operate, secure, improve, and provide the Service and its requested features. This license ends when the relevant User Content is deleted from our systems, except to the extent retention is necessary for backups, legal obligations, dispute resolution, security, or these Terms.

Do not submit confidential, highly sensitive, or irreplaceable material. You should keep your own copies of material you wish to preserve.

6. Practice Tools and Recognition Features

Practice feedback, tempo tools, rhythm activities, score recognition, progress data, and related features are provided for educational and informational purposes only. They may be incomplete, unavailable, delayed, inaccurate, or unsuitable for a particular learner, instrument, recording environment, or score.

You are responsible for reviewing results before relying on them. The Service is not a substitute for instruction from a qualified music teacher, professional judgment, medical advice, hearing advice, or any other professional service.

7. Leaderboards, Referrals, and Community Features

The Service may display limited profile information and performance data, such as a nickname, avatar, points, streaks, levels, badges, or rankings. We may change, correct, reset, limit, suspend, or remove these features or their results at any time, including where we reasonably suspect error, manipulation, abuse, or a violation of these Terms.

Referral benefits, rewards, and promotional features are discretionary, have no cash value unless we expressly state otherwise, may not be transferred, and may be withdrawn or modified at any time to the extent permitted by law.

8. Third-Party Services

The Service may use or link to third-party services, including Apple, Google, Firebase, authentication providers, cloud infrastructure, and app-store platforms. Those services are governed by their own terms and privacy policies. Orcava does not control and is not responsible for third-party services, their availability, content, or practices.

9. Intellectual Property

The Service, including its software, designs, text, graphics, audio, trademarks, logos, and other materials, is owned by or licensed to Orcava and is protected by applicable intellectual-property laws. Except for the limited license in these Terms, you may not copy, distribute, publicly display, create derivative works from, sell, lease, license, or exploit any part of the Service without our prior written permission.

10. Suspension and Termination

We may suspend, restrict, or terminate your access to all or part of the Service, remove User Content, or disable an account if we reasonably believe you have violated these Terms, created risk or legal exposure, interfered with the Service, or if required to do so by law. Where practicable, we may provide notice, but we are not required to do so when immediate action is reasonably necessary for safety, security, legal compliance, or the integrity of the Service.

You may stop using the Service at any time. Ending use does not relieve you of obligations that arose before termination. Sections that by their nature should survive, including intellectual property, disclaimers, liability limits, indemnity, and governing-law provisions, survive termination.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." ORCAVA DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND ERROR-FREE OR UNINTERRUPTED OPERATION.

We do not warrant that the Service will meet your requirements, preserve any particular data, operate on every device, or be free of harmful components. You use the Service and any results obtained through it at your own risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORCAVA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORCAVA'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID OR PAYABLE TO ORCAVA FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US$10. Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.

13. Indemnification

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Orcava and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to your User Content, your use of the Service, your violation of these Terms, or your violation of another person's rights. A parent or guardian accepting these Terms for a minor agrees to this obligation to the extent permitted by law.

14. Changes to the Service or These Terms

We may modify, suspend, or discontinue any part of the Service at any time. We may also update these Terms from time to time. The updated Terms become effective when posted in the Service unless a different effective date is stated. Your continued use after the effective date constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service.

15. Governing Law and General Terms

These Terms are governed by the laws applicable at Orcava's principal place of business, without regard to conflict-of-law principles, except where applicable consumer-protection law requires otherwise. Any dispute must be brought in the courts with jurisdiction over Orcava's principal place of business, unless applicable law provides you another mandatory forum.

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect and the unenforceable provision will be enforced to the maximum extent permitted by law. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, reorganization, or sale of assets. These Terms and the Privacy Policy are the entire agreement between you and Orcava regarding the Service.
